1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Spectrum Colors ("we," "us," or "our"), concerning your access to and use of the spectrumcolors.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

All services are subject to availability and we reserve the right to discontinue any product or service at any time without notice.

3. Eligibility

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site. By using the Site, you represent and warrant that:

• You are not a minor in the jurisdiction in which you reside

Pricing

All prices are in Canadian Dollars (CAD) unless otherwise stated. Prices are subject to change without notice. We reserve the right to modify or discontinue any service or product at any time.

Payment Terms

We accept various payment methods including credit cards and PayPal. By providing payment information, you represent that you have the legal right to use the payment method.

Taxes

All applicable sales taxes (GST/HST) will be added to your order total as required by Ontario and Canadian law.

6. Shipping & Delivery

Shipping Methods

We ship products via Canada Post and other reputable carriers. Shipping costs are calculated at checkout based on weight, dimensions, and destination.

Delivery Times

Estimated delivery times are provided at checkout but are not guaranteed. We are not responsible for delays caused by shipping carriers, customs, or other factors beyond our control.

International Shipping

International orders may be subject to import duties, taxes, and fees which are the responsibility of the recipient.

Risk of Loss

All items purchased from Spectrum Colors are made pursuant to a shipment contract. The risk of loss and title for such items pass to you upon our delivery to the carrier.

7. Returns & Refunds

Return Policy

We accept returns of unopened, unused products within 30 days of delivery. Return shipping costs are the responsibility of the customer unless the return is due to our error.

Non-Returnable Items

• Custom color formulations
• Digital products and downloads
• Consulting services already rendered
• Opened or used color products

Refund Process

Refunds will be issued to the original payment method within 7-10 business days of receiving the returned item. Shipping charges are non-refundable.

Digital Services

Digital color services, consulting, and downloadable products are non-refundable once delivered.

8. Intellectual Property

The Site and its original content, features, and functionality are owned by Spectrum Colors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks

"Spectrum Colors" and our logos are trademarks of Spectrum Colors. You may not use these marks without our prior written permission.

Copyright

All content on the Site, including text, graphics, logos, images, and software, is the property of Spectrum Colors or its content suppliers and protected by copyright laws.

License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes.

9. User Content

"User Content" means any content you submit to the Site, including reviews, comments, images, and feedback.

License to Use

By submitting User Content, you grant us a worldwide, perpetual, royalty-free license to use, reproduce, modify, and display such content for our business purposes.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE.

12. Limitation of Liability

IN NO EVENT SHALL SPECTRUM COLORS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX MONTHS, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Spectrum Colors and its affiliates from and against any claims, damages, costs, liabilities, and expenses arising from:

• Your use of the Site
• Your breach of these Terms
• Your violation of any third-party rights
• Any unauthorized use of your account
• Your violation of any applicable laws

14. Termination

We may terminate or suspend your account and bar access to the Site immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site or contact us to delete your account.

All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ontario, Canada, and you hereby consent to personal jurisdiction and venue in such courts.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.
